Data Room in a Day: An Investor Path Through Your Truth, Not a Pitch Folder

A strong data room is a guided tour, not a scavenger hunt. The goal: let an investor reconstruct your business in under an hour, then explore deeper without endless back-and-forth. Lead with governance and financial reporting, follow with operations and security, and close with product, customers, and legal.

1. Build the One-Page Index

  • Flat, obvious, dated—map directly to folders.
  • Assign owners and refresh cadences (weekly for metrics and pipeline, monthly for policies, post-board for governance).
  • Pin a change log and Q&A log on the room’s home.
  • Use YYYY-MM-DD naming for clear version history.

3. The Twelve Folders That Matter

1) Company & Cap Table – Charter, bylaws, board consents, option plan, SAFEs/notes, fully diluted cap table, equity summary.
2) Financials & KPIs – 12–24 months of P&L, balance sheet, cash flow, burn multiple, ARR bridge (+CSV).
3) Revenue Policy Memo – 2–3 pages on obligations, timing, principal vs. agent, variable consideration, significant financing; include sample contracts.
4) Cohorts & Retention – Logo and net revenue retention by month/segment; CAC payback by channel.
5) Pipeline Integrity & Customers – Stage definitions, pipeline export, permissioned references, churn reasons with save actions.
6) Product & Architecture – System diagram, data flows, SLAs, uptime, incident log.
7) Security & Compliance – SOC 2/ISO 27001 posture or gap analysis, privacy map, access controls, vendor risk notes.
8) Legal & IP – Key contracts, IP assignments, trademarks/patents, litigation log (redacted).
9) HR & Hiring – Org chart, ESOP usage, hiring plan, leadership CVs.
10) Tax & Structuring – Group chart, tax filings, intercompany agreements, NOLs, tax fact book.
11) GTM & Partners – ICP, pricing, partner agreements, co-marketing calendar, win/loss analysis.
12) Token, Treasury & Liquidity – White paper/draft, supply & vesting policy, wallets, liquidity data, MiCA mapping.

4. Present Numbers for Fast Diligence

  • ARR bridge: annotated image + CSV tied to accounting.
  • Cohorts: logo and net retention, footnoted for anomalies.
  • Rule of 40: show down, base, and up trajectories.
  • Revenue memo: mirror ASC 606/IFRS 15 and call out judgments.

5. Room Mechanics That Win Trust

  • Version control: date prefixes; freeze “VDR Live” copies; keep drafts elsewhere.
  • Permissions: least privilege, expiring links, watermarking, Q&A log inside.
  • Update rhythm: weekly metrics/pipeline, monthly policies/controls, post board pack same day.
  • Vendor choice: structure and searchability > brand.

6. Token Projects: Make EU Checks Easy

If applicable, create a MiCA-aware sub-index—map rights, risks, governance, and issuer details to supervisory checklists. Pin wallet links and unlock calendars.

7. 24-Hour Launch Checklist

  • Create the index & assign owners.
  • Scaffold folders & upload charter/cap table.
  • Add financials, ARR bridge, cohorts, revenue memo.
  • Post security pack, privacy map, uptime, incident log.
  • Add permissioned customer references + pipeline export.
  • (If relevant) Create token/treasury folder.
